| CONDITIONS: The Customer's request for services, either through verbal or written agreement, constitute a legal and binding contract between VB Media and the Customer and does not extend to any other person or entity. COPYRIGHTS AND TRADEMARKS: The client represents to VB Media and unconditionally guarantees that any elements of text, graphics, photos, designs, trademarks, or other artwork furnished to VB Media for inclusion in WebPages are owned by the client, or that the client has permission from the rightful owner to use each of these elements, and will hold harmless, protect, and defend VB Media and its subcontractors from any claim or suit arising from the use of such elements furnished by the client. COPYRIGHTS TO WEBPAGES: Copyright to the finished assembled work of WebPages produced by VB Media is owned by VB Media. Upon final payment of this contract, the client is assigned rights to use as a website the design, graphics, and text contained in the finished assembled website. OWNERSHIP: The intellectual and creative property rights will remain the property of VB Media. The client shall have non-exclusive rights to the use of said property. LATE PAYMENTS AND DISPUTES: VB Media reserves the right to remove WebPages from viewing on the Internet until final payment is made. If collection proves necessary, the client agrees to pay all fees incurred by that process. GOVERNING LAW: This Agreement shall be governed by the laws of the State of Missouri in the United States of America. Each party agrees that jurisdiction and venue for any and all claims, disputes or other matters arising out of the services provided herein and under this Agreement will only lie in Camden County, Missouri. CONFIDENTIALITY: Client shall reasonably expect that all materials, trade practices and secrets provided or divulged to VB Media for this project or any other reason, shall be deemed confidential and shall not be divulged by VB Media to any person or entity. INDEMNIFICATION: VB Media's obligation is limited to claims that arise out of actual breach of contractual agreements on the part of VB Media only. If any other claim is made, as a result of the actions of the client, said client shall indemnify VB Media. |
